Our Ethos
We believe in an open and flat structure. You will be able to grow into the role that most aligns with your goals. Our team members at all levels have the freedom to explore ideas and impact the roadmap and vision of our company.
About the Team
You'll join Rain's lean legal team and take a leading role in our M&A and corporate development efforts as we scale globally. You'll operate as a strategic partner to Rain's leadership — identifying, structuring, negotiating, and closing acquisitions, investments, and other strategic transactions — while also supporting the broader corporate legal function across a fast-moving, heavily regulated fintech platform.
What you'll do
- Lead M&A execution: manage all legal aspects of acquisitions, divestitures, and strategic investments from LOI through closing and post-closing integration, including due diligence coordination, deal structuring, and negotiation of definitive agreements.
- Draft and negotiate transaction documents: purchase agreements, merger agreements, and ancillary documents (escrow agreements, transition services agreements, employment and consulting agreements, IP assignments), plus board and stockholder consents.
- Coordinate due diligence: partner cross-functionally with Finance, Compliance, Risk, Product, and Engineering to identify and assess deal risks and structure appropriate protections.
- Advise on corporate structure and expansion: support entity formation and structuring for international expansion, working with local counsel as Rain enters new markets.
- Support regulatory approvals in M&A, including change-of-control filings with state regulators (e.g., money transmitter license transfers) or foreign financial authorities (e.g., EMI, VASP, or payment institution license approvals).
- Support general corporate matters, including drafting and negotiating intercompany agreements, advising on corporate structuring, and handling other corporate legal needs as they arise.
- Collaborate across the legal team: partner with colleagues focused on licensing, compliance, and regulatory matters to align corporate transactions with Rain's regulatory obligations and licensing requirements.
You are likely to succeed if you have:
- 4 to 8 years of experience in corporate law, with meaningful M&A transaction experience (law firm, in-house, or a combination).
- Hands-on experience drafting and negotiating acquisition agreements, investment documents, and related ancillary agreements.
- Strong understanding of corporate governance, entity management, and Delaware corporate law.
- The ability to manage multiple workstreams and competing deadlines in a fast-paced environment.
- Clear, confident communication skills, with the ability to translate complex legal concepts for business stakeholders.
- Strong hands-on drafting skills, with the ability to handle a meaningful share of contract and transaction drafting in-house.
- A JD and admission to at least one U.S. state bar.
Bonus attributes:
- Ability to support corporate governance: maintain corporate records and entity management across Rain's global subsidiary structure.
- Ability to negotiate commercial contracts.
- Experience at a fintech, payments, crypto, or digital assets company.
- Familiarity with cross-border M&A or international entity structuring.
- Background in venture capital transactions (SAFEs, convertible notes, priced rounds).
- Experience working on inter-company agreements and corporate structuring.
- SEC reporting or compliance experience.

An overview of this role
The Tech Operations Specialist keeps the field organization's AI tooling running smoothly day to day. You will maintain a clear inventory of AI tools in use across the field, manage an index of use cases and field needs, track adoption and utilization, manage access requests, and keep the underlying data feeding these tools clean and well-organized. This is a detail-oriented, execution-focused role for someone who enjoys bringing order to a fast-moving tool landscape and wants to build a foundation in Tech operations.
This role reports to the Vice President, Enablement & AI.

Maintain an up-to-date inventory of all AI tools used across the field org, identify overlap or redundancy, and support consolidation efforts to reduce tool sprawl.
Tool Adoption & Use Case Index:
Formalize a library of field-adopted and -requested use cases for our AI tools, in coordination with the AI Transformation Owner, CRO.
Utilization & Tracking:
Monitor usage of AI tools across teams, build simple reporting to track adoption trends, and flag underutilized or underperforming tools to stakeholders.
Comms & Enablement:
draft internal announcements for tool rollouts and create micro-enablement programs to engage the field in AI tools.
Tool Access Requests/Management:
Own the intake and processing of access requests for AI tools, ensuring provisioning is timely, accurate, and aligned with licensing and approval requirements.

Process-Minded:

Collaborative:
Able to work with enablement, IT, and field stakeholders to gather requirements and resolve access or data issues efficiently.
Data Comfort:
Basic comfort working with spreadsheets, dashboards, or simple data tools to track utilization and maintain data quality.

About the Opportunity
The Workplace IT Specialist ensures a reliable, secure, and high-quality workplace technology experience for employees across our EEA-region offices. Based in our Malta office, this role is the primary owner of local office IT and workplace facilities, and the first-line point of contact for EEA-region user support. The role also provides remote backup and support for other EEA offices as needed, and works as part of our Global IT team.
Second-line support for SaaS platforms and network infrastructure is handled by the broader Global IT team; this role focuses on delivering first-line support and knowing when to escalate. The ideal candidate is customer-focused, technically curious, works well independently, and looks for ways to improve day-to-day IT operations through automation and process improvements.
What You’ll Be Doing
Deliver responsive technical support for hardware, software, operating systems, business applications, and workplace technology, ensuring timely resolution of employee issues for the Malta office and EEA-region users.
Provide first-line, user-facing support for our collaboration, productivity, and business applications, helping employees resolve day-to-day usage questions.
Manage the local endpoint lifecycle — device provisioning, deployment, maintenance, troubleshooting, asset inventory, and secure device retirement — in line with Global IT standards and security policies.
Partner with HR and hiring managers to deliver smooth onboarding and offboarding: device preparation, account provisioning, access requests, and introducing new employees to IT systems, security practices, and workplace technology.
Serve as the primary point of contact for the local office's workplace technology, including conference room AV systems, video conferencing, VOIP, printers, CCTV, access control systems, and other office infrastructure.
Troubleshoot first-line endpoint, networking, Wi-Fi, VPN, identity, and access issues, escalating to and collaborating with the Global IT Operations team on anything beyond first-line.
Support Global IT initiatives, office moves, technology refreshes, and security projects as they affect the local office and the EEA region.
Create and maintain knowledge base articles, standard operating procedures (SOPs), and technical documentation, using AI-powered tools and automation to improve documentation quality and reduce repetitive work.
Own the local end-user support experience: manage support requests, maintain SLA adherence, spot recurring issues, and suggest improvements to IT service delivery.
What We Look For In You

Experience supporting enterprise productivity platforms such as Google Workspace and Lark Suite, with a working understanding of SSO authentication fundamentals, endpoint security, password management, and drive encryption.
Strong troubleshooting and problem-solving skills across hardware, software, operating systems, networking basics, and endpoint technologies.
Fluent, professional English, with the ability to communicate clearly with employees at all levels of the organization, including executive leadership. (Hard requirement.)
Excellent customer service and interpersonal skills.
Ability to prioritize multiple tasks, adapt to changing priorities, and work effectively in a fast-paced environment.
Ability to work independently as the sole on-site IT presence in Malta, with sound judgment on when to escalate to the broader Global IT team.
Comfortable using AI tools to improve productivity, automate repetitive tasks, and produce high-quality documentation.
