Role Summary:
The General Counsel (GC) is the chief legal officer and a key executive team member responsible for leading global legal, intellectual property, and corporate functions. The GC partners strategically with the CEO, executive team, and Board, building a high-performing legal organization to support growth, globalization, and product innovation. The GC oversees legal strategy across commercial/SaaS, privacy, AI governance, labor, corporate governance, IP, compliance, and risk management.
Key Responsibilities:
1. Legal Strategy & Leadership:
— Develop and execute legal strategy aligned with business objectives.
— Advise CEO, executives, and Board on legal, regulatory, governance, risk, compliance, fundraising, and transactions.
— Build and lead in-house legal team; manage external counsel.
— Establish scalable legal processes and playbooks.
2. Corporate Governance & Financing:
— Serve as corporate secretary; manage Board and committee governance.

3. Commercial, Product & Partnership Counsel:

— Collaborate with Sales, Customer Success, Partnerships to manage deal cycles and risk.
— Partner with Product, Engineering, Security to ensure compliance of AI-enabled platform and integrations.
— Counsel on product features, AI use cases, mobile app, and international expansion.
4. Privacy, Data Protection & Terms of Use:
— Own global privacy and data protection program, ensuring compliance with US and international laws.
— Oversee Terms of Service, privacy policies, and product policies.
— Support security reviews, audits, incident response.
— Develop policies and training on data governance and ethical AI use.
5. Labor, Employment & Workforce Compliance:
— Advise on employment matters including hiring, terminations, performance, compensation.
— Support People team on labor law-compliant policies.
— Guide product features supporting labor and scheduling law compliance.
6. Intellectual Property & Innovation:
— Develop and implement global IP strategy covering patents, trademarks, copyrights, trade secrets, open-source.
— Partner with Product and Engineering to protect AI and workforce management innovations.
— Manage IP enforcement and defense.
7. Regulatory, Compliance & Risk Management:
— Monitor legal developments in AI, data privacy, employment, software.
— Design risk and compliance frameworks.
— Support investigations, ethics initiatives.
— Coordinate insurance coverage and claims.
8. Strategic Transactions & Corporate Development:
— Lead legal aspects of M&A, investments, partnerships.
— Provide guidance on competition, antitrust, regulatory issues.
Qualifications:
— J.D. degree and membership in good standing with a US state bar.
— 15+ years combined experience in top-tier law firms and in-house roles, including senior GC roles at high-growth tech or SaaS companies.
— Deep expertise in enterprise SaaS contracting, corporate governance, data privacy, IP strategy.
— Proven leadership in building legal teams supporting growth and international expansion.
— Business-minded advisor balancing risk and commercial objectives.
Preferred:
— Experience in HR tech, workforce management, fintech, or data-intensive SaaS.

Reinforcement Learning Fellows:

- Projects may include building model-based tools to understand and improve AI training data, research on generalization, creating RL environments to improve Claude models and safety-related tasks, and research and implementation of RL algorithms.
