Legal Counsel
Responsibilities: - Provide day-to-day legal support across corporate, commercial, payments, and regulatory matters for an international iGaming business. - Support the incorporation, administration, restructuring, and ongoing maintenance of legal entities across multiple jurisdictions. - Prepare and maintain corporate documentation, including resolutions, powers of attorney, and statutory records. - Coordinate the opening and ongoing maintenance of corporate bank accounts, payment accounts, and merchant accounts, including preparing KYC/KYB documentation and liaising with banks, PSPs, and other financial institutions. - Provide legal support for relationships with PSPs, acquirers, and other payment partners, including reviewing and negotiating agreements and assessing legal and regulatory requirements for payment solutions. - Draft, review, and negotiate commercial agreements, NDAs, and other legal documents. - Draft, review, and update B2C platform documentation, including Terms & Conditions, Privacy Policies, Responsible Gaming Policies, and AML/KYC policies. - Assist with selected gaming licensing matters, including preparing corporate and supporting documentation, coordinating submissions and renewals, and liaising with licensing advisers and authorities as needed. - Conduct legal research and monitor relevant developments in corporate, gambling, financial services, data protection, and commercial regulations across the jurisdictions in which the business operates. Requirements: - Bachelor’s and/or Master’s degree in Law. - 3–5 years of legal experience, preferably in iGaming or another international business with cross-border corporate and payment operations. - Hands-on experience with offshore corporate structures and the administration of legal entities across multiple jurisdictions. - Practical experience opening and maintaining corporate bank, payment, and merchant accounts, including handling KYC/KYB requests and coordinating with financial institutions. - Experience working with PSPs and other payment partners. - Strong knowledge of corporate, commercial, and contract law, with the ability to research and navigate regulatory requirements across different jurisdictions. - Experience drafting and reviewing commercial agreements, corporate documents, and customer-facing platform documentation. - Excellent legal drafting skills in English and Russian, English proficiency at B2–C1 level or above, both written and spoken. - Strong analytical, communication, and organizational skills. - A proactive, practical approach and the ability to work effectively in a fast-paced international environment.

Role Description: — Providing legal support to corporate administrators on various corporate matters, including amendment to or drafting of corporate documents and procedures such as memorandum and articles of association, minutes, resolutions and powers of attorney. — Drafting, reviewing and commenting on corporate agreements including share purchase agreements, subscription agreements, option agreements, loan agreements and shareholder agreements. — Attending court, signing affidavits and/or obtaining court orders for corporate matters including incorporation of companies, amendments to memorandum, reduction of capital, late submissions, mergers, re-domiciliation. — Assisting with the establishment and management of trusts. — Assisting with preparation of applications and dealing with public authorities for obtaining Cyprus citizenship or residency under the Cyprus Investment Program. — Reviewing and advising on transaction structures and legal documents from a Cyprus law perspective. — Providing legal advice on other legal, corporate and commercial matters.
